Fre Claims (or “Freddie Mac’s Claims”)
The amounts of any and all defaults and outstanding obligations of Seller/Servicer to Freddie Mac and any and all Claims of Freddie Mac with respect to Seller/Servicer, including those arising out of or relating to (a) the Servicing Contract, the Guide and the other Purchase Documents, (b) the purchase or sale of securities from or to Freddie Mac (including any transactions entered into with any department, division or Affiliate of Freddie Mac that may perform any securities trading activities), (c) any repurchase agreement transactions with Freddie Mac, and/or (d) any other agreement with Freddie Mac (including any applicable acknowledgment agreement, consent agreement, pledge and security agreement, guaranty, letter of credit agreement, or indemnity agreement). For the avoidance of doubt, FRE Claims/Freddie Mac's Claims (i) are not limited to amounts of defaults, obligations or Claims arising out of or relating to any specific agreement or pool of Mortgages, and (ii) include amounts of modeled or future Claims, regardless of whether such Claims are contingent or unmatured at the time of such determination, unless Freddie Mac in its sole and absolute discretion finally determines that such amounts are not due and payable.
